This isn't a hit piece on shared drives. SharePoint, Dropbox, and Google Drive are outstanding at what they're designed for: helping people who trust each other work on files together. Most companies should keep using them for exactly that.
Due diligence breaks the design assumption. The people reading your documents are outside counterparties with their own interests; you're disclosing selectively, staged over time, to multiple parties who must not see each other; and if the deal sours, "who saw what, when" stops being trivia and becomes evidence. That's a different job, and it rewards a different tool.
What changes when diligence starts
- The audience is external and adversarial-adjacent. Reviewers are evaluating you, and some of them are your competitors' future owners.
- Disclosure is selective and staged. Bidder A must not see bidder B's track, and finalists see more than first-round participants.
- The record matters as much as the sharing. Deal disputes, reps-and-warranties claims, and regulator questions all reach back to access history.
- Process etiquette is real. Bankers and counsel expect NDA-gated entry, an indexed structure, and in-room Q&A — a process run over email links reads as unprepared.
Assembled vs. built-in
A capable admin can approximate parts of a data room in a general-purpose platform — restricted folders, some watermarking, activity reports pulled from admin logs. The distinction isn't that it's impossible; it's that you're assembling and policing controls that a data room ships as defaults, for the entire life of the deal, with no margin for a mis-set sharing link.

When a shared drive is the right call
Internal collaboration, early conversations with a single trusted party, casual document swaps where the downside of a leak is embarrassment rather than liability — a data room would be overkill. Use what your team already lives in.
When to switch
Move to a data room when any of these become true: multiple external parties reviewing simultaneously; commercially sensitive or regulated documents in scope; board, LP, or regulator visibility into the process; or a realistic chance you'll someday need to prove exactly who accessed a document. In practice, that's the start of any serious M&A process, fundraise, or audit.
